1. Introduction

The following Terms and Conditions (the “Agreement”) govern your access and use of the Recentered Life LLC. online platform (the “Platform”), including any related websites or applications provided by or on behalf of Recentered Life (“we”, “us”, or “our”). The Platform is owned and operated by Recentered Life, located at 22792 Centre Drive Ste 106.

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, please do not use the Platform.

IMPORTANT NOTICE: THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER AS DESCRIBED IN SECTION 8.

2. Therapist Services

2.1. Overview

Recentered Life facilitates connections between you and qualified mental health professionals (each a “Therapist”) who provide counseling services (“Therapist Services”) via our Platform. The Therapists are independent service providers; they are neither employees nor agents of Recentered Life. Recentered Life is not a healthcare provider and does not itself offer therapy.

2.2. Therapist Credentials

For Therapists providing services to clients in California:

• Therapists are required to be licensed mental health professionals (e.g., psychologists, licensed marriage and family therapists, licensed clinical social workers, licensed professional counselors) who meet the requirements of their respective jurisdictions.
  
• Each Therapist must hold the necessary academic qualifications, be accredited by the appropriate professional board, and have substantial clinical experience.
  

Therapists outside of California are similarly credentialed in accordance with local laws and professional standards.

2.3. Service Limitations

While we strive to offer effective counseling, you acknowledge that:

• Therapist Services may not be suitable for all mental health conditions.
  
• The Platform is not intended for emergency situations.

3. Privacy and Security

Your privacy is critically important to us. By using our Platform, you agree that our collection, use, and disclosure of your personal data is governed by our Privacy Policy, which is incorporated herein by reference. Please review our Privacy Policy for detailed information about our data practices.

4. Intellectual Property

All content, features, and functionality on the Platform—including text, graphics, logos, icons, images, software, and other materials—are the exclusive property of Recentered Life or our licensors (collectively, the “Recentered Life Intellectual Property”). You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for your personal, non-commercial use, subject to your compliance with this Agreement. Any unauthorized use of the Recentered Life Intellectual Property is strictly prohibited.

5. Third-Party Content and Links

The Platform may include links to third-party websites, content, or services that are not owned or controlled by Recentered Life. We do not endorse or assume any responsibility for any third-party content, practices, or policies. Your use of such third-party content is at your own risk, and we encourage you to review the terms and privacy policies of any third-party sites you visit.

6. Disclaimer of Warranties and Limitation of Liability

6.1. Disclaimer of Warranties

THE PLATFORM, INCLUDING ALL SERVICES, CONTENT, AND THERAPIST SERVICES, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. YOU AGREE THAT YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK.

6.2. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECENTERED LIFE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM OR THE THERAPIST SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

7. Subscription, Payment, and Cancellation

7.1. Subscription Services

Recentered Life offers various subscription options for ongoing therapy and counseling services. Subscription fees are billed on a recurring basis (e.g., weekly, monthly, quarterly) until you cancel your subscription. Your subscription will automatically renew at the end of each billing cycle.

7.2. Payment Terms

• By providing your payment information, you authorize us to charge the applicable fees to your designated Payment Method.
  
• You are responsible for all charges incurred through your account. Payment information must be accurate and kept up-to-date.
  
• If you cancel your subscription, any unused portion of your current billing cycle may not be refunded.
  

7.3. Cancellation and Refunds

• You may cancel your subscription at any time, but you must do so before the next billing cycle to avoid being charged for the subsequent period.
  
• Recentered Life reserves the right to adjust subscription fees and services with appropriate notice to subscribers.
  

8. Dispute Resolution, Arbitration, and Class Action Waiver

8.1. Informal Resolution

Before initiating formal dispute resolution, you and Recentered Life agree to attempt to resolve any disputes informally for 30 days following written notice of the dispute.

8.2. Binding Arbitration

Except as otherwise provided herein, any dispute, claim, or controversy arising out of or relating to this Agreement or your use of the Platform (a “Dispute”) shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association (“AAA”). The arbitration will be conducted on an individual basis, and you and Recentered Life waive any right to participate in a class or representative action.

8.3. Class Action Waiver

By agreeing to these terms, you waive your right to bring any Dispute as a class, collective, or representative action, to the maximum extent permitted by law.

8.4. Opt-Out Option

If you do not wish to be bound by the arbitration provision and class action waiver, you may opt out within 30 days of first using the Platform by sending written notice to optout@recenteredlife.com with the subject line “Arbitration Opt-Out.” If you opt out, you may pursue claims in court; however, this will not affect any disputes that have already entered arbitration.

9. Your Account and Conduct

9.1. Account Registration

• You agree that all information provided during registration is accurate, current, and complete.
  
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  

9.2. Acceptable Use

• You agree not to use the Platform for any unlawful, harmful, or unauthorized purposes.
  
• You will not interfere with or disrupt the integrity or performance of the Platform or any data contained therein.
  
• Any misuse of the Platform may result in termination of your account.
  

9.3. Indemnification

You agree to indemnify, defend, and hold harmless Recentered Life, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of or related to your use of the Platform or breach of this Agreement.

10. Modifications and Termination

10.1. Modifications to the Agreement

Recentered Life may modify or update this Agreement from time to time. Changes will be effective upon posting the updated version on the Platform, with the “Last Updated” date reflecting the changes. Your continued use of the Platform after any modifications indicates your acceptance of the updated terms.

10.2. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, without notice, for any reason, including if you breach any of these Terms. Upon termination, all rights granted to you under this Agreement will immediately cease.

10.3. Disruptions

While we strive to maintain uninterrupted access to the Platform, we are not liable for any interruptions, disruptions, or downtime, and you acknowledge that occasional technical issues may occur.

11. Export Controls and Sanctions

Recentered Life’s services may be subject to U.S. export control laws and other similar international laws and regulations. You represent that you are not located in any country to which the United States has embargoed goods or that has imposed economic sanctions, and you will comply with all applicable export laws and regulations.

12. Notices

All notices or other communications required or permitted under this Agreement must be in writing and will be deemed given when delivered by email, posted on the Platform, or sent by registered mail to the appropriate address listed below:

13. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising out of or related to this Agreement shall be exclusively resolved in the state or federal courts located in Santa Clara County, California. By using the Platform, you consent to the jurisdiction of these courts.

14. Entire Agreement and Severability

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Recentered Life regarding your use of the Platform. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The headings in this Agreement are provided for convenience only and will not affect its interpretation.

15. Assignment and Transfer

Recentered Life may assign or transfer this Agreement, in whole or in part, at any time without notice to you. Any attempted assignment in violation of this provision will be null and void.
